Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Gizmo platform, website, and related services (collectively, the "Service") provided by Gizmo Platforms Inc ("Gizmo," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Gizmo lets you build and run agentic workflows that connect to third-party platforms, including Meta, Shopify, and Etsy, to perform actions on your behalf — such as launching advertising campaigns, creating and managing store content, and publishing materials. You instruct the Service; you remain responsible for the workflows you create and the actions they take.

2. Accounts

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and able to form a binding contract to use the Service.

3. Third-party integrations

The Service connects to third-party platforms (e.g., Meta, Shopify, and Etsy) using credentials you authorize. Your use of those platforms remains subject to their own terms and policies, and you represent that you have the rights necessary to connect and operate the accounts you link. Gizmo is not responsible for changes, outages, or actions taken by third-party platforms.

4. Etsy integration

If you connect an Etsy shop, the Service accesses the Etsy API on your behalf to perform the actions you configure. Your use of Etsy and any data accessed through it remains subject to Etsy's own Terms of Use and policies, and you represent that you are authorized to connect and operate the Etsy account(s) you link.

Not affiliated with Etsy. Gizmo is an independent application and is not affiliated with, endorsed by, certified by, or sponsored by Etsy, Inc. The term "Etsy" is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy.

Etsy warranty disclaimer. THIS APPLICATION IS SOLELY PROVIDED BY GIZMO PLATFORMS INC (THE "APPLICATION DEVELOPER"). YOU ACKNOWLEDGE THAT ETSY, INC. AND ITS AFFILIATES ARE NOT THE APPLICATION DEVELOPER, DO NOT PROVIDE THE APPLICATION SERVICE, AND MAKE NO WARRANTIES OF ANY KIND WITH RESPECT TO THE APPLICATION OR DATA ACCESSED THROUGH IT.

Etsy data. We request only the minimum Etsy data needed to provide the features you enable, and with respect to that data we act as a service provider to you. Etsy content displayed in the Service is kept current with Etsy and is cached only as long as reasonably necessary to operate your workflows. We do not use Etsy data to train artificial intelligence models, and we do not use it for analytics, licensing, or any purpose unrelated to your workflows. If you disconnect the Etsy integration or your access is terminated, we will cease accessing your Etsy data and remove the connection. 5. Acceptable use

You agree not to use the Service to:

• violate any law, regulation, or third-party platform policy (including advertising policies);
• publish content that is unlawful, deceptive, or infringes the rights of others;
• interfere with or disrupt the integrity or performance of the Service; or
• attempt to access accounts, systems, or data without authorization.

6. AI-generated output

The Service uses artificial intelligence to draft content and take actions. AI output may contain errors. You are responsible for reviewing workflows and their output, and for all content published or actions taken through your connected accounts.

7. Fees

Portions of the Service may be offered free of charge, and others for fees that will be disclosed before you incur them. Except as required by law, fees are non-refundable.

8. Intellectual property

We retain all rights in the Service. You retain all rights in the content you provide and in the deliverables your workflows produce, and you grant us the limited rights needed to operate the Service on your behalf.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that creates risk or harm. Upon termination, your right to use the Service ends, but provisions that by their nature should survive will survive.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, Gizmo Platforms Inc will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amounts you paid us in the twelve months preceding the claim (or one hundred US dollars, if greater).

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in the Service). Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Venue for any dispute lies in the state or federal courts located in Travis County, Texas.
